Terms of Service
Last updated: October 8, 2026
These terms are an agreement between you and Itasca Innovation, Inc. ("Itasca", "we", "us"). They govern your use of the Itasca platform at platform.itascainnovation.ai and the apps we host for our customers (together, the "Platform"). By signing in to or using the Platform, you agree to these terms. If you use the Platform on behalf of an organisation, you agree for that organisation and confirm you have authority to do so.
Your organisation may have a separate written agreement with us. If it conflicts with these terms, that agreement wins.
1. The Platform
The Platform lets organisations build, deploy and run web apps, often with an AI assistant, without managing their own cloud infrastructure. We host those apps, control who can open them, and provide related features such as file storage, scheduled work, connections to other services and AI requests. We may improve, change or stop features over time. If we remove something an organisation relies on, we will give reasonable notice.
2. Accounts and access
- You sign in with Google or Microsoft, or with an emailed link where your organisation allows it. Keep access to that account secure. You are responsible for what happens under your sign-in.
- An organisation's administrators decide who in that organisation may use the Platform and what they may do. They can also invite people from outside it to individual apps.
- Tell us promptly at privacy@itascainnovation.ai if you think your access has been misused.
3. Your content
"Your content" means the apps, source code, data, files, prompts and other material you or your organisation put on the Platform, or that your apps collect.
- You own your content. We claim no ownership of it.
- You give us permission to use it to run the Platform. That means to host, store, copy, process, build and display your content only as needed to provide, secure and support the Platform for you.
- You are responsible for your content and your apps. You must have the rights you need to use your content. If your app collects information from other people, you must tell them what it collects, have a lawful basis for collecting it, and handle it lawfully. For that information, we act on your instructions, as described in our Privacy Policy.
- We do not use your content to train AI models.
4. Acceptable use
You must not use the Platform to:
- break the law, infringe others' rights, or harm, defraud or harass anyone;
- host malware, run phishing, send spam, or collect people's information without their permission;
- get round access controls, reach another customer's apps or data, or probe the Platform's security without our written permission;
- interfere with the Platform or its other users, including by overloading it or mining cryptocurrency;
- hand the Platform's resources to others as a service of your own without our agreement;
- publish content that is unlawful, sexually exploits children, or promotes violence.
We may remove content or suspend access that breaks these rules, or that puts the Platform or others at risk. Where we reasonably can, we will tell you first and give you a chance to fix the problem.
5. AI features
AI answers are generated automatically and can be wrong, incomplete or inappropriate. Review anything that matters before relying on it. AI requests are processed by our provider, Google, and may be subject to limits or budgets your organisation sets.
6. Other services
The Platform can connect to services run by other companies, such as Google, Microsoft and HubSpot. Your use of those services is governed by their own terms. We are not responsible for them.
7. Fees
Fees, if any, are set out in your organisation's order or agreement with us. Unless that agreement says otherwise, fees are due as invoiced and do not include taxes.
8. Feedback
If you send us suggestions or ideas about the Platform, we may use them freely without owing you anything.
9. Confidentiality and security
We treat your content as confidential. We protect it with reasonable technical and organisational measures, described in our Privacy Policy.
10. Ending use
You may stop using the Platform at any time. We may suspend or end access for a serious or repeated breach of these terms, or if the law requires it. If an organisation's use ends, it may ask us for a copy of its apps' source code and data within 30 days. After that we may delete them.
11. Disclaimers
The Platform is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise the Platform will be uninterrupted or error-free. This section does not limit any commitment in a written agreement your organisation has with us.
12. Limitation of liability
To the fullest extent the law allows, neither you nor Itasca will be liable to the other for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from the Platform or these terms. Each party's total liability under these terms is limited to the greater of the amounts paid to Itasca for the Platform in the 12 months before the claim, or US $100. These limits do not apply to a party's fraud, wilful misconduct, or its obligations under section 13.
13. Indemnity
You will defend and compensate Itasca against third-party claims arising from your content, your apps, or your breach of section 4. Itasca will defend and compensate you against third-party claims that the Platform itself, as we provide it, infringes their intellectual property.
14. Changes to these terms
We may update these terms. We will post the new version here and update the date at the top. If a change is significant, we will give customers reasonable notice before it takes effect. Continuing to use the Platform after a change takes effect means you accept it.
15. General
- These terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws rules. Disputes will be heard only in the state or federal courts located in Minnesota, and both parties agree to those courts' jurisdiction.
- If any part of these terms cannot be enforced, the rest still applies.
- Not enforcing a right is not a waiver of it.
- You may not transfer these terms without our consent. We may transfer them as part of a merger, acquisition or sale of our business.
- These terms and our Privacy Policy are the whole agreement between us about the Platform, unless your organisation has a separate written agreement with us.
